Terms of Service

Account Creation: To access Axel, a LeaAxel AI product, you must sign in using your Google account or as a guest. By signing in, whether through Google or as a guest, you confirm that the information you provide is accurate and agree to keep it up to date. Signing in with Google grants Axel access to certain information from your Google account, as permitted by Google, in accordance with their privacy policies.

By signing in, whether through Google or as a guest, you acknowledge and agree to these Terms of Service and the Privacy Policy. If you do not agree with the Terms of Service or Privacy Policy, you should not proceed with using the app. Signing in, regardless of the method, constitutes your acceptance of these terms, and continued use of the app signifies your ongoing agreement.

Account Responsibilities: For access to Axel, a LeaAxel AI product, you must sign in using your Google account or as a guest through the app installed on your device. You are responsible for maintaining the security and confidentiality of your Google account and your device. If someone gains unauthorized access to your Google account or your device, they may also gain access to Axel. You agree to promptly notify LeaAxel AI of any unauthorized access or suspected security breach. LeaAxel AI is not liable for any loss or damage resulting from the unauthorized use of your Google account or device.

Multiple Accounts: Users have the ability to sign in or sign out of the Axel app at any time and can sign in using any Google account of their choice. Please note that each Google account used to sign in is treated as a unique account and requires a separate subscription. Subscriptions are tied to the specific Google account, and switching between accounts may result in separate usage limitations based on the subscription associated with each account.

Multiple Devices: Users can sign in to their Axel account from any device. However, all sessions are synchronized and managed under a unified session. To avoid potential subscription issues, such as exceeding request limits, we recommend that users maintain only one active session per device. Simultaneous sessions on multiple devices may cause synchronization issues and could affect your subscription usage.

The Axel app (“App”) is licensed to users solely through official and authorized distribution channels, including, but not limited to, the Google Play Store and other platforms explicitly approved by the Company. Users are prohibited from downloading, installing, or obtaining the App from unauthorized third-party sources such as unofficial websites, peer-to-peer networks, or file-sharing services. The Company makes no warranties regarding the safety or functionality of the App when obtained from unauthorized sources.

Obtaining the App from unauthorized sources may expose users to significant security risks, including malware or other malicious software. The Company disclaims all liability for any damages or losses resulting from using the App obtained from unauthorized sources.

Users are prohibited from redistributing, modifying, or sharing the App, in whole or in part, without the Company's prior written consent. Unauthorized distribution or modification of the App will result in the violation of these Terms of Service and may lead to account termination, legal action, and potential civil or criminal liability.

The Company reserves the right to pursue legal action against any individual or entity involved in the unauthorized distribution or modification of the App and will cooperate with legal authorities as necessary.

Billing: When purchasing any Services, you agree to provide complete and accurate billing information, including a valid payment method. For paid subscriptions, your payment method will be automatically charged at each periodic renewal unless you cancel. You are responsible for any applicable taxes, and we will apply tax charges as required by law. If we are unable to process your payment, we may downgrade your account or suspend access to the Services until the payment is successfully completed.

Plans (Tiers): Axel is a paid app and does not offer a free tier. Users must subscribe to one of the available subscription plans to access the app's features. Each subscription plan provides access to specific features and a predetermined usage quota.

Subscriptions automatically renew at the end of each billing cycle unless cancelled by the user. Any unused quota will not carry over to the next billing cycle upon renewal. The quota is reset automatically with each renewal or, in the case of a new subscription, will be assigned as per the terms of the new plan. Users may cancel their subscription at any time; however, no refunds will be provided for any unused portion of the subscription.

Users have the option to downgrade their subscription at any time. A downgrade will take effect at the start of the next billing cycle. Users may also choose to upgrade their subscription at any time. An upgrade will take effect immediately, and the user will be charged immediately for the new plan. Upon upgrading, any remaining quota or features from the previous plan will be forfeited, and no credits or carryover will be provided. Users are not entitled to any rights or compensation related to the forfeiture of unused portions of the previous plan.

Details of each subscription plan, including features, usage limits, and allocated quotas, are outlined on the subscription page within the app. It is the user's responsibility to read and fully understand the plan they are subscribing to, including the duration of the subscription. LeaAxel AI is not liable or obligated to provide further explanations or clarifications regarding any subscription terms.

LeaAxel AI reserves the right to change, modify, or discontinue any subscription plans, including the features offered, subscription periods, pricing, or other related terms, at any time, without prior notice. Users will be subject to the updated terms upon the next renewal of their subscription.

Permissions: By using the Axel app (“App”), you acknowledge and agree that certain permissions must be granted to enable its functionality. These permissions are categorized as Core Permissions and Optional Permissions, as outlined below:

Core Permissions – These are essential for the App's fundamental operation. Without granting these permissions, the App may not function properly. Users are required to enable these permissions upon initial setup to proceed with using the App.

Optional Permissions – These enhance the user experience based on the level of engagement with the virtual assistant. These permissions are not mandatory at the time of installation but may be requested dynamically when users attempt to perform actions that require them. Users can choose to grant or deny these permissions at any time.

The specific permissions required for Axel's functionality are detailed within the App. Users will be explicitly prompted to enable these permissions when necessary. By continuing to use the App, you acknowledge that failure to grant Core Permissions may result in limited or unavailable functionality.

Service Performance, External Dependencies, and Limitations: Axel is a voice-activated assistant that interacts with various external applications, services, and devices to provide users with a range of functionalities. These functionalities are subject to the availability and accuracy of the external services and devices Axel integrates with, as well as the performance of the internet connection. By using Axel, you acknowledge that its performance and functionality may be affected by third-party services, including the availability of AI services provided by third-party service providers, as well as the speed and reliability of your internet connection.

Axel's performance may be slower or less reliable if the internet connection is slow or unstable. Additionally, the availability and functionality of Axel depend on the availability of the AI services and external integrations provided by third-party service providers. If these services are unavailable or disrupted, Axel's capabilities may be limited or unavailable.

Axel is provided "AS-IS" and "AS-AVAILABLE." LeaAxel AI makes no representations or warranties regarding the performance, availability, or reliability of Axel, nor the external services with which it interacts. LeaAxel AI is not responsible for any interruptions, errors, or issues arising from these third-party services, integrations, or internet connectivity. You agree to use Axel at your own risk and acknowledge that LeaAxel AI is not liable for any damages, data loss, service failures, or other consequences resulting from the use of Axel or its interactions with external applications, devices, services, or internet connectivity.

Ownership: With the exception of any user-generated content you provide, all other content and data processed within LeaAxel AI remain the property of LeaAxel AI. These Terms do not grant you or any third party any rights, title, or interest in Axel's proprietary content, software, or technology. No implied licenses are granted. Unless explicitly permitted in writing, you may not copy, redistribute, or reuse any proprietary content provided by LeaAxel AI.

Feedback: If you provide LeaAxel AI with any feedback, suggestions, or recommendations regarding the platform ("Feedback"), you agree to grant LeaAxel AI all rights to use and implement such Feedback without restrictions or compensation. LeaAxel AI will treat any provided Feedback as non-confidential and non-proprietary.

Compliance with Laws and Regulations: By using LeaAxel AI, you agree to comply with all applicable laws and regulations, including those governing online transactions and financial legitimacy. You confirm that any payments made through Axel's platform do not originate from unlawful activities, including but not limited to money laundering, fraud, or unauthorized transactions. You are solely responsible for ensuring the legality of your funds and transactions.

User Content: User content refers to any data, including but not limited to conversations with the assistant, personal preferences, interactions, or any other information that a user generates or provides while using the Axel app. This content is collected and stored for the purpose of enhancing the user's experience and improving the app's functionality.

Data Synchronization and Retention: By default, user data is synchronized to a secure database to ensure seamless data synchronization across different sessions and to enable data retrieval in the event of on device data loss. This data will remain in the secure database as long as the user remains active within the app. If the user does not engage with the app for a period of 60 days, all associated data may be subject to deletion.

Deletion of User Content: Users have the ability to delete their conversations and personal preferences at any time through the app. However, clearing application data or removing content locally does not remove the data from the secure database. To request complete deletion of their data from the database, users must contact LeaAxel AI by sending an email request to privacy@leaaxel.ai. Upon receipt of such a request, LeaAxel AI will take the necessary steps to permanently delete the user's data.

Authorization for Data Use and License: By agreeing to these Terms of Service, users grant LeaAxel AI full authority to use their data, including conversations, personal preferences, and other interactions with the Axel app, for the purpose of improving the app's AI models, services, and features. This data will be anonymized, securely handled, and used solely to enhance the user experience in compliance with applicable data protection laws.

In submitting content, users grant LeaAxel AI an irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to store, and process their content as necessary for the functionality of the app and related services. LeaAxel AI may sublicense these rights to third parties where necessary to operate and provide services. By granting this license, users waive any claims to moral rights or attribution regarding their submitted content.

Data Privacy and Security: LeaAxel AI is committed to ensuring that all user data is handled with the highest standards of security. Data will be kept private and secure and will not be shared with third parties, except as required by law or as explicitly stated in our Privacy Policy.

Acceptable Use Policy: You agree not to:
(i) Upload or distribute malware, viruses, or harmful software through LeaAxel AI.
(ii) Send spam, junk mail, or unauthorized promotional content using LeaAxel AI.
(iii) Collect or harvest user data, including emails, without consent.
(iv) Interfere with or disrupt Axel's servers, networks, or security systems.
(v) Attempt unauthorized access to LeaAxel AI or related systems.
(vi) Harass, exploit, or disrupt another user's experience.
(vii) Use bots, scrapers, or automated scripts to access LeaAxel AI (except for search engines granted limited indexing permissions).

You agree to indemnify, defend, and hold LeaAxel AI and its affiliates harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
(a) Your use of LeaAxel AI and its products.
(b) Your violation of these Terms.
(c) Your violation of any applicable laws or regulations.
(d) Any User Content you generate or share through LeaAxel AI and its products.

LeaAxel AI reserves the right, at your expense, to take exclusive control over the defense of any claim for which you are required to indemnify us. You agree to cooperate fully in LeaAxel AI's defense of such claims. You may not settle any claim without LeaAxel AI's prior written consent. LeaAxel AI will make reasonable efforts to notify you of any claim, action, or proceeding upon becoming aware of it.

Third-Party Links: LeaAxel AI may provide users with access to third-party links or services, either by user request or as part of the functionality of the assistant. This includes instances where the assistant opens specific links or websites in response to user instructions, or when users ask the assistant to open any link they desire. However, these third-party links and websites are not under the control of LeaAxel AI. LeaAxel AI does not review, endorse, or control the content, policies, or practices of any third-party websites or services that users may access through the assistant.

By using LeaAxel AI and interacting with third-party links, you acknowledge that: LeaAxel AI is not responsible for the content, privacy policies, or actions of third-party websites, services, or external links accessed through the assistant. Any interactions with third-party websites or services are at your own risk, and you are subject to the terms and conditions, privacy policies, and data collection practices of those third parties.

Release: You hereby release and discharge LeaAxel AI, its affiliates, officers, employees, and partners from any claims, demands, disputes, liabilities, or damages—past, present, or future—arising directly or indirectly from your use of LeaAxel AI, including but not limited to any issues related to Third-Party Links or interactions with other LeaAxel AI users.

IF YOU ARE A CALIFORNIA RESIDENT, YOU EXPRESSLY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

LeaAxel AI reserves the right to modify, update, or discontinue any aspect of its services, including the Axel product, at any time and at its sole discretion, without prior notice. We make no guarantees regarding the quality, reliability, or availability of our services, and we disclaim all warranties concerning the applicability of laws related to User Content.

You acknowledge that any reliance on LeaAxel AI and its services is solely at your own risk. To the fullest extent permitted by applicable law, you agree that:

• Limitation of Liability: LeaAxel AI shall not be liable for any harm, damages, or losses arising from your use of its services, including but not limited to service interruptions, errors, data loss, or other issues with availability or functionality. In no event shall LeaAxel AI be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, even if we have been advised of the possibility of such damages.
• User Content: You assume all risks and responsibilities related to any copyright violations or legal issues regarding content you submit to LeaAxel AI, including ensuring that you have the necessary rights to submit such content. You agree to indemnify and hold LeaAxel AI harmless from any third-party claims arising from your content or actions.

"AS-IS" and "AS-AVAILABLE" Basis: AXEL IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. LEAAXEL AI DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

LeaAxel AI does not guarantee that:
(i) The service will meet your specific requirements.
(ii) The service will be available without interruptions, delays, errors, or security risks.
(iii) The service will be accurate, reliable, virus-free, or legally compliant in all jurisdictions.

If applicable law requires any warranties regarding LeaAxel AI, such warranties are limited to thirty (30) days from the date of first use.

Jurisdictional Exceptions: Some jurisdictions do not permit the exclusion or limitation of implied warranties, so parts of this disclaimer may not apply to you. Similarly, some jurisdictions may not allow limitations on warranty durations, meaning some restrictions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AXEL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, AXEL, EVEN IF AXEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, AXEL IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

Jurisdictional Exceptions
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

Subject to this Section, these Terms will remain in full force and effect while you use LeaAxel AI. We reserve the right to suspend or terminate your rights to use LeaAxel AI (including your Account) at any time and for any reason at our sole discretion, including for any use of LeaAxel AI in violation of these Terms. This includes, but is not limited to, engaging in malicious behavior such as attempting to exploit or abuse the platform—for example, using the Ultimate Plan in a manner intended to unreasonably drain system resources or otherwise disrupt normal service operations. Any such activity will be deemed a violation of these Terms and may result in immediate account termination.

Upon termination of your rights under these Terms, your Account and right to access and use LeaAxel AI will be terminated immediately. You acknowledge that any termination of your Account may involve the deletion of your User Content associated with your Account from our live databases. LeaAxel AI will not be liable to you for any termination of your rights under these Terms, including the termination of your Account or deletion of your User Content.

Even after the termination of your rights under these Terms, the following provisions will remain in effect: Section 2 and subsequent sections.

LeaAxel AI respects the intellectual property rights of others and expects its users to do the same. If you believe that any content submitted through Axel or other LeaAxel AI services infringes upon your copyrighted work, please follow the procedures outlined below to notify us.

In accordance with applicable laws, LeaAxel AI will act to remove any infringing content and may suspend or terminate accounts of users who repeatedly infringe on intellectual property rights. To submit a copyright infringement notice, please provide the following information via email to privacy@leaaxel.ai

• Your electronic signature
• Identification of the copyrighted work(s) that you claim to have been infringed
• Identification of the material on our services that you claim is infringing and that you request us to remove
• Sufficient information to permit us to locate such material
• Your address, telephone number, and e-mail address
• A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner

Please be aware that any misrepresentation of material fact in a copyright notice may expose you to legal liability for damages, including LeaAxel AI's costs and attorney's fees.

You are solely responsible for any content you submit through Axel or other LeaAxel AI services. By submitting content, you affirm that you have the right to do so, and you grant LeaAxel AI a non-exclusive, royalty-free, worldwide license to use, store, and process your content for the purposes of providing and improving the services, as described in our Terms of Service and Privacy Policy.

LeaAxel AI may suspend or terminate the accounts of users who repeatedly infringe the intellectual property rights of others.

Changes: These Terms may be updated from time to time. Significant changes will be communicated to you via email sent to the last email address you provided (if any) and/or by prominently posting a notice on LeaAxel AI. It is your responsibility to ensure that we have your current email address. Even if the last email address provided is invalid or incapable of receiving the notice, our dispatch of the email will still constitute effective notice of the changes. Your continued use of LeaAxel AI following such notice indicates your acknowledgment and agreement to the revised Terms.

Electronic Communications: Communications between you and LeaAxel AI are conducted electronically, whether you interact with LeaAxel AI, send us emails, or receive notices via email or the platform. For contractual purposes, you:
(a) Consent to receive communications from LeaAxel AI in electronic form.
(b) Agree that all terms, agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications would fulfill if they were in hardcopy writing.
Your non-waivable rights remain unaffected by the foregoing.

Entire Terms: These Terms constitute the entire agreement between you and LeaAxel AI regarding the use of the platform. Our failure to exercise or enforce any right or provision shall not constitute a waiver of such right or provision. Section titles are provided for convenience only and do not carry legal or contractual significance. The term “including” means “including without limitation.”

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect, and the invalid or unenforceable provision shall be modified to the maximum extent permitted by law to make it valid and enforceable.

Your relationship with LeaAxel AI is that of an independent contractor, and neither party is an agent or partner of the other. You may not assign, subcontract, delegate, or transfer your rights or obligations under these Terms without prior written consent from LeaAxel AI; any attempted transfer in violation of this provision shall be null and void. LeaAxel AI retains the right to freely assign these Terms, and the conditions outlined herein shall bind any assignees.
